Intellectual Property Rich Embrace Media retains all intellectual property rights in the materials we create, including but not limited to website content, graphics, and advertising copy. The client may use these materials for their intended purpose only and may not reproduce or distribute them without our prior written consent.
Confidentiality We will maintain the confidentiality of all information provided by the client and will not disclose such information to third parties without the client’s consent, except as required by law.
Limitation of Liability Rich Embrace Media is not liable for any damages or losses arising from the use or inability to use our services or website. We are not responsible for any indirect, incidental, or consequential damages, including but not limited to lost profits, loss of data, or business interruption.
Indemnification The client agrees to indemnify and hold Rich Embrace Media and its officers, directors, employees, and agents harmless from any claims, damages, or expenses arising from the client’s use of our services or website.
Governing Law These terms and conditions are governed by the laws of the state of California, and any disputes will be resolved in the courts of San Francisco County.
Changes to Terms and Conditions We reserve the right to modify these terms and conditions at any time without notice. By continuing to use our services or website after any changes are made, you agree to be bound by the revised terms and conditions.
Entire Agreement These terms and conditions constitute the entire agreement between Rich Embrace Media and the client and supersede all prior agreements and understandings, whether written or oral.

Waiver The failure of Rich Embrace Media to enforce any provision of these terms and conditions shall not be construed as a waiver of any provision or right.
